Photograph of Jacob Bernstein Jacob Bernstein is the secretary of Booz Allen and a deputy general counsel. He leads the Office of the Corporate Secretary, a multidisciplinary team whose members act as key liaisons to the Board of Directors as it discharges its fiduciary duties and as trusted advisors to the firm on matters related to Booz Allen’s status as a public company and global corporate citizen. As a strategic counselor to senior leadership and the Board of Directors, Jacob works to enable positive business outcomes across disciplines.

Jacob and his team have regularly advised the firm on U.S. Securities and Exchange Commission disclosure; environmental, social, governance (ESG) strategy and reporting; stockholder engagement; key corporate finance transactions; management of global entities; strategic investments; dispositions; and acquisitions.

Under Jacob’s leadership, the Office of the Corporate Secretary has supported key achievements for Booz Allen, including:

Adoption of a Board diversity policy to formalize longstanding inclusive practices
Maturation of Board independence following Carlyle’s exit of its ownership stake
Elevation of its approach to ESG impact management through chartered oversight by the Board
Establishment of an ESG function within the Office of the Corporate Secretary, responsible for facilitating integration of stakeholder considerations into business strategy and enhanced transparency through annual publication of the firm’s ESG Impact Report
Acquisition of digital service business Aquilent, the largest M&A transaction in Booz Allen’s history  
Before joining Booz Allen in 2015, Jacob practiced corporate law for 15 years with international law firms Latham & Watkins LLP and Morrison & Foerster LLP. He currently serves on the Advisory Committee of the Society for Corporate Governance, Mid-Atlantic Chapter.

Jacob received a J.D. from Georgetown University Law Center. He has a B.A. in business economics from the University of California, Santa Barbara.
