Executive Alert - SEC Adopts Notice and Access Amendments

On February 22, 2010, the SEC issued an adopting release amending its notice and access, or "e-proxy" rules. The amendment, which is designed to provide flexibility to companies relying on e-proxy rules, will become effective on March 29th and will have a bearing on the current proxy season.

Executive Alert - SEC Approves New "Proxy Disclosure Enhancements" Rules

In an open meeting on December 16, 2009, the SEC approved new rules that will increase, and change certain existing proxy disclosure requirements. By a vote of 4-1, the Commission adopted the new rules that were originally proposed in a 137 page release in July 2009, and then modified following a comment period that resulted in over 130 comment letters.

NIRI has released the Standards of Practice for Investor Relations, Volume II - Implementing Notice and Access. NIRI's Working Group on Notice and Access and the NIRI Board of Directors recommend that public companies review the considerations and recommendations.
