Derek is President of Investor Relations Advisory Solutions (www.IRadvisory.com ), a strategic advisory firm specializing in investor relations, corporate communications, capital raising support and media relations. Derek is a veteran investor relations practitioner with 23 years experience in the capital markets and strategic planning and 17 years of dedicated investor relations and corporate communications experience focused on supporting the development of private and public companies.

Derek has established initial investor relations functions at multiple companies and developed and executed multiple award winning strategic communications programs, as well as providing financial communications counsel to C-level executives, corporate investor relations officers (IROs) and board members. He has managed and contributed to a broad spectrum of financing transactions, including venture capital investments, initial public offerings, secondary offerings and institutional private placements, that combined have raised approximately $950 million. He has also contributed to the research, planning and execution of five M&A transactions.
Derek is an active leader of the National Investor Relations Institute (NIRI) having served on the NIRI National Board of Directors 2008 – 2012 and as Chairman of the Board of Directors in 2012. He also served as Chairman of the Working Group on Financial Disclosure for NIRI’s Standards of Practice for Investor Relations and as Co-Chairman of the national steering committee for the NIRI BioPharma Roundtable. Derek is currently Chairman of the Board of Directors of the Colorado BioScience Association. He has served as a Guest lecturer at the University of Colorado, teaching “IPOs and Investor Relations”.

Rick is a Senior Vice President of D.F. King & Co., Inc. and co-director of the Corporate Proxy Division and the Extraordinary Events Group.  Rick primarily advises corporations and shareholders involved in complex shareholder transactions specializing in corporate control situations such as proxy contests, mergers and unsolicited tender offers.  

Some of recent assignments Rick assisted with include eBay, Inc. in its defense of activist investor Carl Icahn, Sensient Technologies Corporation in its defense of activist investor FrontFour, BMC Software in its defense from Elliot Associates, Corvex Management / Related Companies in its solicitation of consents to remove the board of trustees of CommonWealth REIT Hampden Bancorp defense from activist investor Clover Group, Dole Foods acquisition by David Murdoch, Pershing Square Capital Management in its solicitation of proxies for board representation at Canadian Pacific Railway. AsiaInfo-Linkage’s acquisition by CITIC Capital, Pershing Square and Valeant Pharmaceuticals offer to acquire Allergan, Valeant Pharmaceuticals tender offers in connection with the acquisition of Solta Medical and Obagi Medical Products.

Prior to joining D.F. King, Rick was a founding partner of Beacon Hill Partners, Inc. specializing in advising companies and activist shareholders in corporate control situations.  Rick began his proxy solicitation career at the Carter Organization, Inc., joining that firm in 1986.

Corporate Business Development/Strategy/Alliance Management, Beckman Coulter (Danaher Company)

Cynthia Skoglund currently is the head of Alliance Management and a member of the Business Development and Strategy team at Beckman Coulter, a subsidiary of Danaher Corporation. Prior to the company being acquired by Danaher in 2011, Skoglund was the Investor Relations Officer at Beckman Coulter, Inc., a $3.7 billion manufacturer of scientific and medical instrumentation. IR activities ran the full gamut—from the IPO when the company was spun-off from its parent (SmithKline Beckman)in 1988, to the acquisition of the company by Danaher Corporation. Ongoing IR responsibilities included: Communications with the investment community, development and implementation of a worldwide targeting program, executive management interface to maintain a comprehensive IR program, development of IR presentations for both internal and external communities, participating in the company’s Disclosure Committee, and general overall management of the IR department. Additional activities included dealings with dissident and activist shareholders, including a proxy battle, and communications to complete and integrate major acquisitions.

With over twenty years of experience in investor relations, Skoglund is an active member of the National Investor Relations Institute (NIRI) and has previously served on the NIRI Orange County board for approximately fifteen years including past president, programs including special events and treasurer. She currently serves as president of the chapter. Skoglund was also a member of NIRI National’s Annual Conference Committee for a period of three years. In addition to NIRI, she is an active member of the MAPI (Manufacturers’ Alliance) IR Council and has served on the planning committee for several years
